1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Exif Injector, operated by NOVA IMPACT LTD ("we," "our," or "us"), a company incorporated in England and Wales (Company Number: 16126510). By creating an account, purchasing a subscription, or using any part of our service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use Exif Injector. If you are using the service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Description of Service

Exif Injector is an AI-powered image metadata platform that allows users to view, edit, inject, and remove EXIF, IPTC, and XMP metadata from image files, individually or in bulk. Features include but are not limited to:

• AI-generated metadata including titles, descriptions, keywords, and alt text
• Platform-specific optimisation for Shutterstock, Etsy, Amazon, Shopify, and Google Images
• Bulk metadata injection and removal
• Copyright and licensing field management
• Image compression and file renaming tools

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where possible.

3. Account Registration

To access certain features you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your login credentials confidential and not share them with others
• Notify us immediately of any unauthorised use of your account
• Be responsible for all activity that occurs under your account

You must be at least 18 years old to create an account. We may suspend or terminate accounts that provide false information or violate these Terms.

4. Acceptable Use

You agree to use Exif Injector only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Upload images that you do not own or do not have the right to process
• Use the service to process content that is illegal, obscene, or harmful
• Attempt to reverse-engineer, scrape, or automate access to the platform beyond permitted API usage
• Use the service to inject false, misleading, or fraudulent metadata
• Violate the terms of any third-party platform (e.g. Shutterstock, Etsy, Amazon) to which you submit processed images
• Circumvent any rate limits, usage quotas, or security measures
• Resell or redistribute the service without our written permission

You are solely responsible for the images you upload and the metadata you inject or export. We reserve the right to remove content or suspend accounts that violate these rules.

5. Intellectual Property

5.1 Our Property

Exif Injector, including its software, design, interface, documentation, and branding, is the intellectual property of NOVA IMPACT LTD and is protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

5.2 Your Content

You retain full ownership of the images you upload. By using the service, you grant us a limited, non-exclusive, royalty-free licence to process your images solely to deliver the service to you. We do not claim ownership of your images or the metadata you generate, and we do not use your image content for any purpose other than providing the service. We do not store your images — all uploaded files are permanently deleted immediately after processing is complete.

6. AI-Generated Metadata Disclaimer

Our service uses AI models to analyse images and generate metadata suggestions including titles, descriptions, keywords, alt text, and copyright fields. You acknowledge that:

• AI-generated metadata is assistive and may not always be accurate, complete, or appropriate
• You are responsible for reviewing and approving all metadata before publishing or submitting images to any platform
• We make no guarantees about search ranking outcomes resulting from the use of generated metadata
• You must not use AI-generated metadata in contexts where accuracy is legally required (e.g. medical imaging, legal filings) without independent verification

We strongly recommend reviewing all outputs before commercial use, especially for regulated, licensed, or high-stakes contexts.

7. Payment and Billing

Paid features are billed through Stripe, our third-party payment processor. By subscribing to a paid plan, you agree that:

• Subscription fees are charged in advance on a monthly or annual basis, as selected
• Prices are displayed exclusive of VAT where applicable; VAT may be added at checkout based on your location
• You authorise us to charge your payment method automatically at each renewal period
• We reserve the right to change pricing with at least 30 days' notice before your next billing cycle
• Failed payments may result in temporary suspension of your account until the balance is settled

We do not store your full payment card details. All payment data is handled securely by Stripe in accordance with PCI-DSS standards.

8. Cancellation and Refunds

8.1 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until that date.

8.2 Refunds

We offer a 7-day money-back guarantee on first-time purchases of any paid plan. If you are not satisfied, contact us at [email protected] within 7 days of your first charge and we will issue a full refund. After this period, payments are non-refundable except where required by applicable law.

8.3 Account Deletion

You may delete your account at any time. Deletion removes your profile and personal data in accordance with our Privacy Policy. Deletion does not automatically trigger a refund.

9. Privacy

Your use of Exif Injector is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, store, and protect your personal information. By using the service, you consent to data practices described in that policy.

10. Disclaimer of Warranties

Exif Injector is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, NOVA IMPACT LTD disclaims all warranties, express or implied, including but not limited to:

• Fitness for a particular purpose
• Accuracy or completeness of AI-generated metadata
• Uninterrupted or error-free operation of the service
• Compatibility with any specific third-party platform or marketplace

We do not warrant that using our service will improve your search rankings, sales figures, or platform acceptance rates.

11. Limitation of Liability

To the maximum extent permitted by applicable law, NOVA IMPACT LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or image files
• Rejection of images or content by third-party platforms
• Inaccurate metadata generated by AI

Our total aggregate liability to you for any claim arising out of these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim, or £100, whichever is greater.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless NOVA IMPACT LTD and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the service in violation of these Terms
• Your infringement of any third-party intellectual property rights
• Images or metadata you upload, generate, or distribute through the service
• Your violation of any applicable law or regulation

13. Changes to Terms

We may update these Terms from time to time. When we do, we will:

• Update the "Last Updated" date at the top of this page
• Notify you by email for material changes (for registered users)
• Display a notice within the platform

Your continued use of the service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you should stop using the service and cancel your subscription.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in the EU, you may also have the right to bring proceedings in the courts of your country of residence.
